Terms of Service

The following terms and conditions apply to all goods and services provided by Knight Studio.

Terms of payment

The terms of payment are as per your quote, or otherwise as per below.

Quotes are valid for 7 days unless otherwise stated. A 50% deposit invoice will be supplied to the client and must be paid before work is commenced unless agreed otherwise. A final invoice will be supplied to the client on completion of the project and must be paid within 7 days of invoicing.

Progressive invoices will be issued for projects that exceed 30 days duration. These invoices will be issued at the end of each month for any work completed to that date or at the conclusion of key milestones of the project and are payable 7 days from the invoice date.

Payments not received by the due date will attract a cumulative interest charge of 5% for each week that payment remains outstanding.

Knight Studio will accept payments into our bank account. These details will be provided to you on acceptance of your quotation, with the initial 50% deposit invoice. 

Disbursements

This quotation excludes any outside costs incurred (for example: photography, stock imagery, fonts, applications, subscription services, travel and couriers). Any services, which have not been included in the quotation, do not form part of this project. Knight Studio will notify the client of any additional costs.

Liability 

The client will indemnify and defend Knight Studio against any claim, damages, and expense, actions or causes of action arising from or prompted by the use of any material supplied to Knight Studio by the client. All property belonging to the client is handled and stored by Knight Studio is done so at the Client’s own risk. 

Knight Studio is not responsible for errors or omissions in any work produced as per the Client’s approval, and no financial responsibility is assumed by Knight Studio for errors or damages resulting from such errors.

Non-completions of services

Where Knight Studio is instructed by the client to undertake any work, and the project is cancelled at any stage of production, the client shall be liable and billed for the total cost of the project.

Third-Party Contracts 

Knight Studio may act on behalf of the client to contract with other individuals or companies, to provide additional services such as, but not limited to writing, photography, illustration, prepress services, printing, fabrication, programming, or manufacturing. The client agrees to be bound by any terms and conditions of such contracts; conditions of such contracts, including credits and usage rights, with respect to reproduction of the materials that may be claimed by these third parties.

Copyright, Usage Rights and Ownership

We accept material for printing, publication and production on the basis that those submitting the material do not infringe copyright or any other third-party rights, and that those instructing Knight Studio indemnify Knight Studio accordingly.

Knight Studio is the first owner of all work and materials created during the course of this project. All ideas, artwork, drawings, mock-ups, models, specifications, electronic files, software documents, and all other tangible materials, including initial concepts, accepted or rejected elements, works in progress, and finished materials which have been created or provided by Knight Studio during the course of this project remain the exclusive property of Knight Studio until full payment is made to Knight Studio. The client shall not use any material outside the outlined quotation until full payment is made by the client to Knight Studio. 

Unless otherwise stated, all services provided and all materials created in the course of the project by Knight Studio shall be for the exclusive use and benefit of the Client, other than for the promotional use of Knight Studio. Knight Studio retains all intellectual property rights for all programming and source code which may be produced during the project. Knight Studio retains the rights to use the created and completed project material for the purpose of design competitions, future publications on design, educational and portfolio purposes, or for the marketing of Knight Studio.

Additions, Alterations and Revisions 

Any revisions, additions, or alterations to the project modifying the terms of the agreement as the services to be performed and not included in any fee specified, shall be billed as additional services. Such additional services shall include, but shall not be limited to, changes in the extent of work, changes in the complexity of any elements of the project, and any changes made after approval has been given for a specific stage of design, documentation, or preparation of artwork. 

Approvals

Final branding, design, digital and any other services performed by Knight Studio is sent to the client for final approval. The client shall check it carefully and notify Knight Studio of any errors or alterations. Knight Studio will use reasonable endeavours to correct any changes as notified, but Knight Studio reserves the right to charge extra if any of these alterations go beyond the original supplied brief, scope of the project or this quotation. It is agreed that Knight Studio is not responsible or held liable for any errors contained in the final product after it has been approved and committed to print or posted in view of the public.

Knight Studio requires clients to thoroughly proofread and approve all elements of final designs. Approval must be provided before production can continue and artwork is released. Corrections, if required, will be identified on proofs, artwork, or digital proofs and submitted for Knight Studio to revise and resubmit for client approval. Final approval is required on every project and must be marked “Approved” with the name or initials of the individual who is authorised by the Client to approve artwork for release and production. 

Knight Studio will not be liable in respect of errors that may occur after the handover of artwork where the client oversees the print and production process.
